Acceptance of Terms
This website is operated by Logit.io. Throughout the site, the terms “we”, “us” and “our” refer to Logit.io. Logit.io offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By accepting this Agreement, by completing the registration process, accessing the Service, using the Site or adding your card to your account, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
“Account” means access to the Service.
“Agreement” means these customer Terms of Service and all materials referenced or linked.
“Data” means all information that Customer submits via the Service.
“Documentation” means online user guides, documentation and help and training materials published at https://docs.logit.io/ or accessible through the Service, as may be updated by Logit.io from time to time.
“Service” means our application you have subscribed to and developed, operated and maintained by us.
“Site” means logit.io.
“Third-Party Sites” means third-party websites linked from within the Service.
“Users” means your employees, representatives, consultants, contractors or agents who are authorized to use the Service for your benefit and have unique user identifications and passwords via oAuth for the Service.
“You”, “your” or “Customer” means the person or entity using the Service and identified in the applicable registration process, billing statement, online subscription process or Order Form as the customer.
2. Description of the service
The Service gathers and transfers log data to a cloud based ELK Solution which is provided by a User of the Service. Customer who subscribes will be given an Account to have its Data analyzed and stored.
Additional functionality and services may be offered or provided by us from time to time and these will be described on the Site.
3. Storage space and Usage Limits
Users can upload a certain volume of log data, dependent on the daily volume level selected, which is referred to as the “Usage Limit.”
Data will be kept dependent on the daily period selected, which is referred to as the “Retention Period” after which it will be no longer indexed/searchable in Elastic Search.
An email alert or alternative notification will be provided when Customer is near or over its Usage Limit. If the Customer exceeds their Usage Limit, and at Logits’ sole discretion, their Account may be automatically upgraded and/or charged for the appropriate subscription plan to cover excessive usage, the Account may be charged up to two times (2x) the effective price per monthly gigabyte (GB) rate already agreed to for its account for each GB Customer has exceed beyond its Usage Limit, or the Account may be suspended until Customer has purchased the relevant upgrade.
4. Sending us data
Logit.io provides you with the option to encrypt the transmission of your Data. You acknowledge that it is your responsibility to encrypt the transmission of your Data should you wish to protect it. In the event you decide to transmit your Data unencrypted to the Service, You assume all related risks for doing so. Logit.io will not be liable for any liabilities arising from your transmission of Data over the Internet or other network.
In order to use the Service Users may be required to use logit.io software which collect logs and ship them to the logit.io server(s) or other third party software, as specified on the Website. Please note that Logit.io does not, and shall not, assume any responsibility or liability with respect to any logit.io software or other third party software its integrity, completeness, accuracy, reliability and/or quality, and logit.io does not guarantee or assume any responsibility or liability that any such software or other third party software will function as described by the third party providing it. Furthermore, logit.io does not, and shall not, assume any responsibility or liability to any content offered, published, displayed and/or suggested through a logit.io software or any other third party software.
5. Content Responsibility
You are solely responsible for a) Your content and Data (meaning Content You post or otherwise submit to the Site or Service), b) the accuracy, quality, and legality of Your content and of Your submissions, c) the means by which You acquired Your content, including ensuring that Your content and Your submissions do not infringe upon or violate the rights of any person, d) claims relating to Your content and Your submissions, and e) responding to any person claiming Your content and/or Your submissions violate such persons rights, including notices pursuant to the Digital Millennium Copyright Act.
6. General conditions
We reserve the right to refuse service to anyone for any reason at any time.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
7. Fees and Payment
Logit.io offers trial, paid subscription plans (a “Trial Plan” and “Paid Plan”, respectively, and collectively, the “Subscription Plans”) for all Accounts. A description of the features associated with these subscription plans is available on the Website.
All new Accounts start with a Trial Plan. Following the applicable trial period under a Trial Plan, your Account will be suspended, unless you select to subscribe to a Paid Plan. If at any time you select to subscribe to a Paid Plan, you agree to pay the applicable subscription fee and any taxes and other fees that may accrue in relation to your use of the Services. When you select a Paid Plan, you will be required to provide a credit card number and customary billing information such as name and billing address. If you select monthly payments, you will automatically be charged the subscription fee for the month on each prior month’s anniversary date of when you registered (the “Monthly Anniversary Date”).

If you do not want to be charged for a month, you must cancel your Account at least thirty (30) days prior to the next Monthly Anniversary Date.
Company reserves the right to change its price list and to institute new charges at any time, upon notice to You, which may be sent by email or posted on the Site. Your use of the Services following such notification constitutes your acceptance of any new or increased charges.
Additional Charges may apply for additional services requested by Customer such as the transfer of data after closing the Account. Customer will be notified of services requiring additional Charges which have not been previously agreed upon before any such additional Charge will be applied.
All fees are non-refundable. All fees and applicable taxes, if any, are payable in United States dollars. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties. Logit.io is not responsible for any expenses or third party charges (including, without limitation, any charges with respect to clearing or billing services) you incur resulting from being billed by Logit.io in accordance with these Terms.
8. Intellectual Property
“Data” means data, customized analyses, text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, provided or otherwise made available through the Services; and
“User Data” means any Data that Account holders (including you) provide to be made available through the Services, and
“Logit.io Data” means any Data that is not User Data.
9. Acceptable usage policy
The Logit.io Acceptable Usage Policy prohibits the processing of data which are deemed by us in our sole discretion as being inappropriate or unlawful. We aim to ensure that we are not associated with any website content (including linked content) which is illegal, fraudulent, offensive, embarrassing, sexually explicit, obscene, threatening, defamatory or otherwise inappropriate. We prohibit the processing of data using the Service where the processing would breach the laws or rights of third parties and the Customer represents, warrants and undertakes to us that no such transactions will be processed via the Services.
Customer agrees not to use the Site or the Service or cause or permit the Site or the Service to be used:
so as to jeopardize or prejudice the operation, quality or integrity of the Site, the Service or the operation, quality or integrity of any telecommunications network;
for any commercial purpose including any direct marketing, surveys, contests or pyramid schemes, nor to participate in or cause others to participate in sending chain letters, junk e-mail, spam, duplicative or unsolicited messages, advertising or promotional material;
to harvest or otherwise collect information about others, including e-mail addresses, without their consent;
to distribute, download, upload or transmit any material that contains viruses, trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs;
contrary to the terms and conditions of any Internet Service Provider whose services you may use.
10. Service Availability and Customer Support
The Service is available 24 hours a day, 7 days a week, except for: (a) planned downtime (of which Logit.io shall endeavor to give at least 8 hours’ notice and which Logit.io shall schedule to the extent practicable during the weekend hours from 9:00 p.m. Friday to 6:00 a.m. Monday UTC Time), or (b) any unavailability caused by circumstances beyond Logits’ reasonable control, including without limitation, Internet, hosting and telecommunications service provider failures or delays, failures of independent service providers, or denial of service attacks. Customer support is provided through the online and email channels.
11. Disclaimer of warranties; Limitation of liability
THE SERVICE INCLUDING ANY SOFTWARE INCLUDED IN OR PROVIDED AS PART OF THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND LOGIT.IO EXPRESSLY DISCLAIMS ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, LOGIT.IO DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE COMPLETE, ACCURATE, OR RELIABLE, THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
YOU ACKNOWLEDGE THAT THE SERVICES AND DATA ARE HOSTED ON A THIRD PARTY HOSTING FACILITY, AND THAT LOGIT.IO SHALL NOT BE RESPONSIBLE FOR ANY INTERRUPTION TO THE SERVICES WHICH IS CAUSED BY SUCH THIRD PARTY HOSTING FACILITY. LOGIT.IO MAY CHANGE THE THIRD PARTY HOSTING PROVIDER, FROM TIME TO TIME.
YOU ACKNOWLEDGE THAT IT IS NOT POSSIBLE TO GUARANTEE DATA SECURITY, YOU ACKNOWLEDGE UNAUTHORIZED ACCESS TO YOUR DATA MAY OCCUR AND YOU AGREE IN SUCH EVENT THAT ANY LOSS YOU MAY SUFFER IS SUBJECT TO THE LIMITATION OF LIABILITY PROVISIONS OF THIS AGREEMENT. UNDER NO CIRCUMSTANCES WILL LOGIT.IO BE LIABLE IN ANY WAY FOR ANY DATA, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY DATA, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED IN CONNECTION WITH USE OF OR EXPOSURE TO ANY DATA POSTED, EMAILED, ACCESSED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.
In no case shall Logit.io, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to THE AMOUNT YOU PAID LOGIT.IO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM.
12. Term and Termination
The subscription term shall begin on the effective date of your subscription and expire at the end of the period selected during the subscription process (“Subscription Term”).
The Subscription and Agreement will automatically renew at the published rates on a monthly, annual or otherwise mutually agreed upon period of time, unless one party notifies the other party in writing of its intent not to renew at least thirty (30) days in advance of the expiration of the Subscription Term.
Customer may terminate the Service at any time, however, fees are non-refundable except in the event of Logit.io uncured material breach as set forth below.
Either party may terminate this Agreement at any time, effective immediately, upon written notice to the other party, if such other party: (i) breaches any of its material obligations hereunder and fails to cure such breach within thirty (30) days of written notice thereof; (ii) becomes insolvent or has a receiver, administrator, liquidator or examiner appointed over all or part of its assets or (iii) becomes the subject of a resolution, petition or order for winding up or bankruptcy. We may terminate this Agreement if, at any time, we cease providing the Service.
On termination or expiry of this Agreement for any reason, Customer will remain liable to Logit.io for any outstanding Charges owed, Customer’s rights under this Agreement will immediately terminate, You will lose all access to the Service, including access to Your account and to Your content, and We will delete Your content and the data stored in or as part of Your account.
Without limitation of the foregoing, we may suspend or terminate the Service without notice if Customer shall fail to pay any amounts when due, if the Services are used for other purposes including but not limited to tampering, hacking, modifying or otherwise corrupting the security or functionality of Logit.io Services, if the Services are used in a manner contrary to the law or the terms of this Agreement or if Logit.io experiences unexpected technical or security issues.
Customer shall provide notice of termination of the Service to Logit.io at firstname.lastname@example.org.
13. Errors, Inaccuracies and Omissions
Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.
14. Prohibited Uses
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; © to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.
You agree to indemnify, defend and hold harmless Logit.io and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
17. Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales.
